1Agreement to Terms
By accessing and using the Easy Rate mobile application and website (the "App" or "Services"), you agree to be bound by these Terms of Service ("Agreement"). If you do not agree to abide by the above, please do not use this service.
These terms apply to:
- All users of Easy Rate app
- All features including customer management, invoice management, product management
- Web and mobile versions of the application
- Associated websites and support services
2Eligibility & Account Registration
2.1 Age Requirement
You represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to enter into this Agreement
- You are not legally prohibited from using the Services
- If under 18, a parent/guardian must provide consent
We reserve the right to verify your age at any time. False information may result in immediate account suspension.
2.2 Account Creation
When registering an account, you must:
- Provide accurate, complete, and truthful information
- Use a valid email address you own or control
- Choose a secure password (minimum 8 characters recommended)
- Maintain the confidentiality of your password
- Accept responsibility for all activities under your account
- Update your information to keep it current
You are solely responsible for:
- Unauthorized access to your account
- Loss or misuse of your credentials
- All activities on your account
2.3 Account Suspension
We may suspend or terminate your account if:
- Information provided is false or misleading
- You violate these Terms of Service
- You engage in fraudulent or illegal activities
- You breach payment obligations
- Repeated policy violations occur
- At our sole discretion for safety/security reasons
3Description of Services
3.1 What Easy Rate Provides
Easy Rate is a mobile application that helps users:
Customer Management:
- Store and organize customer/client information
- Track customer communication and preferences
- Manage customer payment terms
- Create customer profiles and notes
Invoice Management:
- Generate professional invoices
- Track invoice status and payment history
- Set payment reminders and due dates
- Customize invoice templates
- Support multiple currencies and tax systems (GST, VAT, etc.)
- Generate reports and analytics
Product Management:
- Create and maintain product/service catalog
- Track product pricing and inventory
- Manage product categories and SKUs
- Generate product-based invoices
Additional Features:
- Cloud backup and data synchronization
- Multi-device access
- Invoice export (PDF, email)
- Payment tracking and reports
- Customer analytics and insights
- AI-assisted invoice generation (if available)
3.2 Third-Party Integrations
Easy Rate may integrate with:
- Payment processors (Stripe, Razorpay, etc.)
- Email services (Gmail, Outlook, etc.)
- Cloud storage (Google Drive, Dropbox, etc.)
- Accounting software (if applicable)
We are not responsible for third-party services. Use of integrations is subject to third-party terms and privacy policies.
3.3 Service Limitations
We do NOT:
- Provide legal or tax advice
- Guarantee invoice acceptance by government authorities
- Act as a tax filing service
- Store or transmit payments on your behalf (payment processors do)
- Provide accounting or bookkeeping services (reference only)
- Guarantee 100% uptime or error-free operation
- Guarantee data security against all possible threats
4User Rights & License
4.1 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Use Easy Rate for your personal business invoicing needs
- Access features you have subscribed to
- Store your business and customer data
4.2 Restrictions
You may NOT:
- Copy, modify, or distribute the app code or content
- Reverse engineer, decompile, or disassemble the app
- Rent, lease, or sell access to Easy Rate
- Use the app for illegal activities
- Create competing apps based on our technology
- Scrape, crawl, or extract our data
- Access the app without authorization
- Remove our copyright or trademark notices
- Use the app to harm others or damage our systems
4.3 Intellectual Property
All content in Easy Rate, including:
- Software code and algorithms
- Design, layout, and graphics
- Logos, trademarks, and branding
- Templates and features
Remain our exclusive property. You retain ownership of your:
- Customer data
- Invoice content
- Product information
- Business data you create
5Payment Terms & Billing
5.1 Pricing & Plans
Easy Rate may offer:
- Free plan: Limited features
- Paid subscriptions: Monthly or annual billing
- Enterprise plans: Custom pricing available
Pricing is subject to change with 30 days notice.
5.2 Billing & Charges
- Billing is charged automatically on the date you subscribed
- Charges continue until you cancel your subscription
- You authorize us to charge your payment method
- All prices are in INR (or currency of your plan) unless specified
- Applicable taxes will be added to your bill
Payment Methods Accepted:
- Credit/debit cards (Visa, MasterCard, American Express, RuPay)
- Bank account (NEFT, IMPS transfer)
- Digital wallets (PayPal, Google Pay, Apple Pay)
- UPI (Unified Payments Interface)
5.3 Invoicing & Receipts
- You will receive digital receipts via email
- Invoices are available in your account dashboard
- GST invoices are provided for Indian users (if applicable)
- Retain receipts for accounting records
5.4 Failed Payments
If your payment fails:
- We will retry payment after 3 days
- If payment fails again, your subscription may be suspended
- Services are restricted until payment is successful
- Late payment fees may apply (as disclosed in your plan)
5.5 Refunds & Cancellation
Refund Policy:
- Monthly plans: No refund if canceled within 30 days (money-back guarantee during this period, at our discretion)
- Annual plans: 30-day money-back guarantee; after that, no refund for unused months
- Special refunds considered on case-by-case basis
- Refunds processed within 5-10 business days
Cancellation:
- You can cancel your subscription anytime in account settings
- Cancellation is effective at the end of your billing cycle
- You retain access until the end of paid period
- Upon cancellation, you may export your data for 30 days
5.6 Taxes
You are responsible for:
- All applicable taxes on invoices you generate
- Sales tax/VAT/GST compliance for your customers
- Tax reporting and filing
- Our app assists but does NOT provide tax advice
We comply with:
- GST regulations (India)
- VAT regulations (if applicable)
- Local tax laws
6Acceptable Use Policy
6.1 Prohibited Activities
You agree NOT to use Easy Rate for:
Illegal Activities:
- Money laundering, fraud, or financial crimes
- Tax evasion or unlawful tax practices
- Human trafficking or exploitation
- Drug trafficking or illegal sales
- Counterfeiting or forgery
- Theft or receiving stolen goods
- Violation of export control laws
Harmful Activities:
- Creating false or misleading invoices
- Issuing invoices for non-existent transactions
- Invoicing for prohibited/illegal products
- Identity theft or impersonation
- Harassment, threats, or abuse
- Violation of others' intellectual property
- Creating malware or viruses
Technical Abuse:
- Hacking or unauthorized access
- Disrupting app functionality
- Overloading servers (DoS attacks)
- Scraping user data
- Creating automated bots (without permission)
- Testing security vulnerabilities without authorization
Business Misuse:
- Pyramid schemes or multi-level marketing
- Pornographic or adult content
- Gambling or betting services
- Unlicensed lending or financial services
- False advertising or misleading claims
6.2 Customer Data Responsibility
You are solely responsible for:
- Obtaining Consent: Ensuring customers consent to their data being processed
- Accuracy: Accuracy and legality of customer information
- Privacy: Protecting customer data according to applicable laws
- Compliance: Complying with data protection laws (GDPR, CCPA, DPDP, etc.)
- Content: Ensuring invoices and communications are lawful and ethical
You warrant that you have obtained all necessary permissions from customers to:
- Collect and store their information
- Use Easy Rate to manage their data
- Send them communications via the app
7Payment Card & Payment Processing
7.1 Payment Card Information
Important Security Notice:
- Easy Rate does NOT store full credit/debit card details
- Payment card information is processed by PCI-DSS compliant payment gateways:
- Stripe (international transactions)
- Razorpay (India transactions)
- PayU (alternative processor)
- Other authorized payment processors
7.2 Payment Processing Terms
By using Easy Rate, you agree to:
- Payment processors' terms and privacy policies
- Secure transmission of payment information
- Authorization of one-time and recurring charges
- Dispute resolution through payment processors
Payment Processor Security:
- End-to-end encryption for card data
- PCI DSS Level 1 compliance
- Fraud detection and prevention
- Chargeback protection
7.3 Refund Disputes & Chargebacks
If you dispute a charge:
- Contact us first: Email support@easyrate.app with details
- Response: We respond within 5 business days
- Resolution: Refund processed if error is confirmed
- Chargeback: If you file a chargeback without contacting us, we may suspend your account
8Limitation of Liability & Disclaimers
8.1 Disclaimer of Warranties
Easy Rate is provided "AS IS" and "AS AVAILABLE" without warranties of any kind:
- No guarantee of uninterrupted service
- No guarantee of error-free operation
- No guarantee of data security
- No guarantee that features will meet your needs
- No guarantee of third-party service availability
We do not warrant that:
- Services will be uninterrupted or error-free
- Defects will be corrected
- Service is free of viruses or harmful code
- Government will accept our invoices
- Your data will never be lost or corrupted
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Easy Rate SHALL NOT BE LIABLE FOR:
- Lost profits, revenue, or business opportunities
- Lost data or business interruption
- Indirect, incidental, or consequential damages
- Punitive or exemplary damages
- Damage to reputation or goodwill
- Any damages exceeding the amount you paid in the last 12 months
- Third-party claims or losses
- Service interruptions or failures
- Data breaches despite our security measures
- Government rejection of invoices
- Tax penalties or audit consequences
These limitations apply regardless of:
- Whether we were informed of possibility of damage
- Type of claim (contract, tort, negligence, etc.)
- Cause of action
8.3 Indemnification
You agree to indemnify and hold harmless Easy Rate from:
- Claims by third parties (customers, authorities, etc.)
- Legal fees and damages
- Allegations of fraudulent invoices
- Privacy violations
- Intellectual property infringement
- Violation of laws or regulations
- Breach of this Agreement
9Data Backup & Loss
9.1 Data Backup
Easy Rate provides:
- Automatic daily backups
- Cloud storage in secure data centers
- Disaster recovery procedures
- Data redundancy for critical information
9.2 Data Loss Disclaimer
IMPORTANT: Despite our efforts:
- We cannot guarantee prevention of data loss
- Corrupted files may not be recoverable
- Extended downtime may result in data loss
- Backup systems may fail
- Deleted data cannot be recovered after 90 days
You are responsible for:
- Maintaining your own backups
- Exporting critical data regularly
- Monitoring account activity
- Reporting suspicious activity immediately
9.3 Data Export
You can export your data anytime:
- Customers list (CSV/Excel)
- Invoices (PDF/JSON)
- Products (CSV/Excel)
- Payment history
- All business data
Export data remains your property.
10Service Availability & Maintenance
10.1 Uptime
We target 99.5% uptime but do NOT guarantee:
- Continuous uninterrupted service
- Zero downtime
- All features available at all times
- Specific response times
10.2 Scheduled Maintenance
We may perform maintenance that causes:
- Temporary service interruption
- Feature unavailability
- Data processing delays
- Access restrictions
Maintenance notifications will be provided when possible via:
- In-app notifications
- Email alerts
- Status page (status.easyrate.app)
10.3 Service Changes
We may:
- Add or remove features
- Change user interface
- Modify pricing
- Discontinue services with 30 days notice
Critical service changes require 30 days advance notice via email.
11Dispute Resolution & Governing Law
11.1 Applicable Law
This Agreement is governed by the laws of Gujarat, India and applicable Indian central laws, including:
- Indian Contract Act, 1872
- Information Technology Act, 2000
- Digital Personal Data Protection Act, 2023
- Goods & Services Tax Act, 2017
For international users: Your local laws may also apply regarding consumer protection and data privacy.
11.2 Dispute Resolution Process
Step 1 - Informal Resolution (30 days):
- Contact: support@easyrate.app
- Provide detailed issue description
- We respond within 5 business days
- Both parties attempt resolution in good faith
Step 2 - Mediation (if needed):
- Engage a neutral mediator
- Both parties share costs equally
Step 3 - Arbitration:
- If mediation fails, dispute goes to arbitration
- Single arbitrator under Arbitration and Conciliation Act, 1996
- Arbitration conducted in English language
- Arbitrator's decision is final and binding
- Loser pays arbitration costs
11.3 Class Action Waiver
You agree NOT to pursue class action lawsuits. All disputes must be handled individually.
11.4 Limitation Period
Any legal action must be filed within 2 years of the dispute arising, after which claim is barred.
12Account Termination & Suspension
12.1 Termination by Us
We may immediately terminate or suspend your account if you:
- Violate this Agreement
- Engage in illegal activities
- Create false or fraudulent invoices
- Harass other users or staff
- Attempt to hack or disrupt the service
- Fail to pay fees for 30 days
- Violate acceptable use policy
- Pose a security or legal risk
Termination is effective immediately without refund.
12.2 Termination by You
You may terminate at any time by:
- Going to Settings > Delete Account
- Or emailing support@easyrate.app
Upon termination:
- Your account is disabled within 24 hours
- Data backup available for 30 days
- Paid service access ends at end of billing cycle
- No refund for unused time (except money-back guarantee period)
12.3 Data After Termination
After account termination:
- You have 30 days to export your data
- After 30 days, data is permanently deleted
- We may retain aggregated/anonymized data
- We retain data as required by law (GST records: 6 years)
13Modifications to Terms & Services
13.1 Changes to Terms
We may update these Terms of Service to:
- Comply with new laws
- Improve clarity and fairness
- Address security issues
- Reflect service changes
Changes are effective when posted. Critical changes require 30 days advance notice via email to your registered address.
Your continued use of Easy Rate after changes = acceptance of new terms.
If you disagree with changes, you may cancel within 30 days for a full refund (if within money-back guarantee period).
13.2 Changes to Services
We may change or discontinue features with reasonable notice. These changes are not eligible for refunds unless service is discontinued permanently.
14Feedback & Suggestions
14.1 User Feedback
If you submit feedback, suggestions, or ideas about Easy Rate:
- You grant us a worldwide, royalty-free license to use them
- We may implement your suggestions without compensation
- You retain ownership but accept non-exclusive licensing
- Feedback may be shared with team members and partners
15Compliance & Legal Matters
15.1 Regulatory Compliance
Easy Rate complies with:
- GST Laws (India): Invoice generation per GST rules
- Income Tax Act: Data retention for 6+ years
- Data Protection: DPDP Act, 2023 compliance
- RBI Guidelines: Payment processing regulations
- IT Act, 2000: Cybersecurity and data protection
15.2 Export Control
You agree NOT to:
- Use Easy Rate to export prohibited goods
- Violate export control laws
- Trade with sanctioned countries or persons
- Facilitate illegal international transactions
15.3 Law Enforcement
We may disclose your information when:
- Required by court order or subpoena
- Law enforcement requests information
- Necessary to protect legal rights
- Preventing fraud or security threats
- As required by law
16Severability
If any provision of this Agreement is found invalid or unenforceable:
- That provision is severed
- Remaining provisions continue in full effect
- The invalid provision is reformed to maximum extent permitted by law
17Entire Agreement
This Agreement, along with our Privacy Policy, constitutes the entire agreement between you and Easy Rate regarding the Services. It supersedes all prior negotiations, representations, and agreements.
If any provision conflicts with another:
- Terms of Service take precedence over automated communications
- Privacy Policy governs data handling
- Payment terms govern billing disputes

- Agree to be legally bound by this Agreement
- Acknowledge you have authority to enter into this Agreement
19.2 No Waiver
Our failure to enforce any provision does not constitute waiver of that provision. We may enforce our rights at any time.
19.3 Precedence
If there's conflict between:

- Email communication and this document → This document applies
- Your country's laws and this document → Stricter law applies
